These Terms and Conditions govern software design, development, support, maintenance, hosting coordination, client portals, automation, and related digital services provided by Vexus Technologies LLP.
Acceptance of Terms
By requesting, purchasing, accessing, or using our services, you agree to these terms and to the written proposal, invoice, quotation, support ticket, or project communication that applies to your work.
Services and Delivery
We provide custom software, websites, business systems, integrations, support, maintenance, and related technical services. Timelines, deliverables, revisions, and support scope are confirmed in writing for each engagement.
Client Responsibilities
Clients must provide accurate requirements, approvals, content, credentials, access, and feedback on time. Delays caused by missing information or third-party services may affect delivery dates and cost.
Payments
Fees, renewal charges, maintenance charges, and payment schedules are governed by the agreed invoice, proposal, or written confirmation. Late or unpaid balances may result in paused work, service suspension, or additional recovery work.
Ownership and Licensing
Unless agreed otherwise in writing, reusable tools, frameworks, know-how, and internal components remain the property of Vexus. Client-specific content and data remain the responsibility of the client.
Confidentiality and Data
We use client data and system access only for agreed work and support. Clients are responsible for keeping their credentials secure and for granting only the access needed for delivery.
Third-Party Services
Hosting providers, domains, SMS gateways, payment gateways, APIs, email systems, and other third-party services are subject to their own terms and availability. We are not responsible for outages or policy changes outside our control.
Limitation of Liability
Services are provided with professional care. To the fullest extent permitted by law, Vexus is not liable for indirect, incidental, special, consequential, or business interruption losses arising from use or inability to use the services.
Governing Law
These terms are governed by the laws of India, with appropriate jurisdiction in West Bengal unless a written agreement states otherwise.
